These Terms of Service (the "Terms") govern your access to and use of the SupplyLine mobile application, website, and related services (together, the "Services") provided by SupplyLine Limited ("SupplyLine," "we," or "us"). By creating an account or using the Services, you agree to be bound by these Terms.
1. Acceptance of Terms
By downloading, installing, or using the Services, you confirm that you have read, understood, and agree to these Terms. If you do not agree, you must not use the Services.
2. The Services
SupplyLine provides B2B infrastructure that allows registered retailers in Bangladesh to order aggregated FMCG goods, receive 1 day delivery, and access short-term trade credit (the "SupplyLine Credit") at checkout. We also provide tools for FMCG brand partners to reach retailers through our distribution network.
3. Account Eligibility
To open an account, you must be a Bangladesh-licensed retail business or an authorized representative of one, at least 18 years old, and able to enter into a binding contract under applicable law. You must provide accurate registration information and keep it up to date. You are responsible for all activity that occurs under your account.
4. Orders and Delivery
Orders placed through the Services are subject to product availability, regional coverage, and acceptance by SupplyLine. Estimated delivery windows are best-effort, not guarantees. Title and risk of loss pass to you upon delivery acceptance at your registered shop address.
5. SupplyLine Credit Terms
Eligible retailers may pay for orders using SupplyLine Credit, which extends instantly at checkout against an internally calculated credit limit. Standard repayment term is seven (7) days from delivery. On-time settlement carries 0% interest. Late settlements may incur late fees, reduced credit limits, and suspension of credit access. Credit limits are calculated by our internal scoring model and may change continuously based on your activity, repayment history, and other signals.
6. Payments
Repayments may be made via bKash, Nagad, or bank transfer through the methods offered in the Services. You authorize us, where supported, to initiate repayment collection on or after the invoice due date. You are responsible for any fees charged by your payment provider.
7. Brand Partner Terms
FMCG brand partners onboarding to SupplyLine agree to separate brand-partner agreements covering product listing, pricing, settlement, and data sharing. Nothing in these Terms creates an exclusive distribution relationship.
8. Acceptable Use
You agree not to use the Services to (a) violate any law, (b) infringe the rights of others, (c) interfere with or disrupt the integrity of the Services, (d) attempt to gain unauthorized access, or (e) resell access to the Services without our prior written consent.
9. Intellectual Property
SupplyLine and its licensors own all rights in the Services, including software, designs, trademarks, and content. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for their intended purpose.
10. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant uninterrupted or error-free operation of the Services.
11. Limitation of Liability
To the maximum extent permitted by law, SupplyLine shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or in connection with your use of the Services. Our aggregate liability for any claim shall not exceed the total amounts settled through your account in the three (3) months preceding the claim.
12. Termination
We may suspend or terminate your access to the Services at any time for breach of these Terms, suspected fraud, or non-payment. You may close your account at any time by contacting us at hello@supplyline.network or following the steps on our account deletion page. Outstanding balances remain due upon termination.
13. Governing Law and Disputes
These Terms are governed by the laws of the People's Republic of Bangladesh for matters relating to the Bangladesh operations, and by the laws of Singapore for matters relating to SupplyLine's Singapore-registered entity. Disputes will be resolved in the competent courts of Dhaka, Bangladesh, or Singapore as appropriate to the entity contracting with you.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated through the Services or by email to your registered address. Continued use of the Services after the effective date of an update constitutes acceptance of the new Terms.
